These Terms of Service govern access to and use of Jointl’s websites, applications, APIs, software, workflows, communications, and related services. By creating an account, using Jointl, accepting an invitation, completing a Flow, using a public Autopilot link, submitting information, or otherwise accessing the Services, you agree to these Terms.
If you use Jointl on behalf of a company, staffing agency, school, nonprofit, client, department, or other organization, you represent that you have authority to bind that organization. In that case, “Customer,” “you,” and “your” refer to that organization and its authorized users.
Jointl is a platform for collecting, organizing, scoring, verifying, and summarizing people-related information. Jointl does not make hiring, employment, housing, lending, insurance, admission, engagement, onboarding, or other eligibility decisions for Customers. Customers remain responsible for their own decisions, policies, notices, consent, legal bases, human review, and compliance obligations.
“Services” means Jointl’s platform, websites, hosted applications, Flows, Single Profiles, assessments, forms, reference checks, Jointl Intelligence features, Matching Scores, Deep Insights, Cross-Verified Insights, Fraud Protection, Verifications, Autopilots, Talent Pool, API, integrations, communications, support, and related services.
“Customer” means the organization or person that creates an account, subscribes to Jointl, configures a Flow, invites Candidates or References, runs checks, uses outputs, or otherwise controls the evaluation process.
“Candidate,” “Applicant,” or “Subject” means a person being evaluated, screened, matched, referenced, assessed, verified, or otherwise processed through Jointl. Depending on the use case, this may include job candidates, employees, contractors, tenants, program applicants, clients, partners, or other individuals.
“Reference” means a person invited to provide feedback, verify information, authenticate identity, or complete a reference or third-party feedback workflow.
“Flow” means a Customer-configured evaluation journey that may include intake, pre-screening, assessments, questions, references, verification checks, fraud signals, scoring, rules, reminders, summaries, and routing.
“Jointl Intelligence” means Jointl’s automated, algorithmic, and AI-enabled functionality used to help ask follow-up questions, structure responses, score information according to selected criteria, summarize evidence, detect patterns, surface insights, and support workflow automation.
“Customer Data” means data, content, questions, forms, criteria, scoring rules, Candidate information, Reference information, files, documents, responses, communications, verification inputs, verification outputs, notes, reports, and other information submitted to or processed through the Services on behalf of Customer.
“Outputs” means scores, reports, summaries, recommendations, risk indicators, verification signals, fraud flags, Cross-Verified Insights, Deep Insights, Matching Scores, rankings, or other information generated or displayed by the Services.
Jointl provides a people intelligence platform that helps Customers collect evidence, automate people checks, compare fit, verify signals, and manage evaluation workflows at scale.
The Services may include: Interactive Flow Builder; Autopilot public links; Matching Score and facet-based evaluation; conversational reference checking; dynamic reference types; pre-screening and data collection; consent-based social link collection; Bulk Matching; multi-company workspaces; email verification; progress updates; intelligent reminders; Fraud Protection; Cross-Verified Insights; Talent Pool; Deep Insights; automated rules; Bulk Import; SMS invitations; interactive forms; flexible question types; custom scoring; live preview; multiple languages; LinkedIn identity verification; response validation; skip logic; roles and permissions; custom branding; white label; SSO; APIs; ATS, HRIS, CRM, and internal integrations; and Verifications.
Jointl may add, modify, suspend, limit, rename, replace, or discontinue any feature at any time. Some features may be made available only to certain plans, customers, regions, or use cases, and some features may require additional onboarding, third-party approvals, data processing terms, identity verification, certifications, consent flows, or separate written agreements.
Customers are responsible for all activity under their accounts, workspaces, companies, Autopilot links, API keys, integrations, admin accounts, and authorized user credentials. Customers must keep access credentials secure and must promptly notify Jointl if they suspect unauthorized access or misuse.
Customers control which users are invited, what roles and permissions are granted, which companies or clients are managed in a workspace, and which people may view, export, share, score, or act on Customer Data. Customers are responsible for configuring roles, permissions, SSO, Magic Links, Autopilot links, branding, templates, and integrations appropriately.
Autopilot public links and Magic Links are intended to simplify secure access. Customers are responsible for where links are posted, who can access them, whether links remain active, and whether any link should be disabled, rotated, or restricted. Jointl may disable links that appear to be abused, misconfigured, unlawful, insecure, or inconsistent with these Terms.
Customer is solely responsible for determining whether and how the Services may be used for a specific role, jurisdiction, industry, workflow, Candidate, Reference, or decision. Customer must use the Services only for lawful, fair, transparent, documented, and authorized purposes.
Customer is responsible for all notices, disclosures, consents, authorizations, certifications, permissible purposes, legal bases, recordkeeping, adverse-action processes, retention policies, accommodations, appeals, dispute handling, and decision-making procedures required by applicable law, regulation, industry standard, collective agreement, company policy, or client obligation.
Customer must not use Jointl to discriminate, retaliate, harass, profile unlawfully, make decisions based on protected characteristics, obtain information it is not legally permitted to request, bypass Candidate or Reference rights, or avoid obligations under employment, labor, privacy, immigration, consumer reporting, housing, education, financial services, sanctions, export-control, anti-discrimination, accessibility, or other applicable laws.
Customer must ensure that questions, templates, assessments, scoring rules, Matching Score facets, knockout criteria, automated rules, reference requests, social link collection, verification workflows, and any use of Jointl Intelligence are job-related, role-related, business-related, proportionate, explainable where required, and appropriate for the intended use case.
Customer must not submit or request medical information, genetic information, biometric information, precise geolocation, financial account details, government identifiers, criminal history, immigration or work authorization information, protected-class information, union membership, religious or political beliefs, sexual orientation, health information, or other sensitive information unless Customer has a lawful basis, obtains any required consent, provides required notices, and determines that collection is necessary and proportionate for the specific workflow.
Jointl is designed to support evidence-backed review. It is not designed to replace human judgment, legal review, professional compliance review, individualized assessment, Candidate communication, dispute handling, or Customer’s own decision-making process.
Customers must not make a final adverse decision, disqualification, rejection, termination, demotion, denial, or other negative action solely on the basis of an automated score, Matching Score, fraud flag, verification signal, public-record match, Cross-Verified Insight, Deep Insight, reference summary, or other Output. Customers must review the underlying information, consider context, confirm possible matches, apply their policies consistently, and follow applicable notice and adverse-action requirements.
Where a consumer report, investigative consumer report, background dossier, algorithmic score, public-record check, verification result, or similar information is used for employment, tenancy, credit, insurance, admission, or another regulated purpose, Customer is responsible for determining whether consumer reporting, adverse-action, dispute, accuracy, retention, or other legal requirements apply. Jointl may require additional agreements, certifications, consent flows, or onboarding before enabling certain features.
Customer is responsible for providing reasonable accommodations, alternative processes, manual review, or other legally required options when a Candidate or Reference cannot complete a digital workflow, has a disability, lacks access to a particular technology, disputes a result, or requests assistance.
Verifications provide supplemental screening signals from public, government, commercial, partner, or authorized sources. Verification features are designed to help Customers identify records that may require additional review; they do not guarantee identity, eligibility, safety, compliance, suitability, or the absence of risk.
Verifications are a beta feature unless otherwise stated. Results may include source-data inaccuracies, outdated data, missing records, name-matching errors, alias mismatches, false positives, false negatives, incomplete coverage, delayed updates, source outages, format changes, temporary availability issues, or jurisdiction-specific limitations. Customer must review source records where available, manually confirm possible matches, and follow applicable law, company policy, Candidate consent, and adverse-action requirements before using results in decisions.
Jointl may display a “Clear,” “Possible Match,” “Review,” “Unavailable,” “Not Started,” “Completed,” or similar status. A “Clear” result means no match was returned by the configured search at that time; it is not a guarantee that no record exists or that the Candidate is eligible, safe, compliant, authorized, or suitable. A possible match means only that additional review is needed; it is not a finding of wrongdoing, ineligibility, or disqualification.
Customer is responsible for confirming that each Verification is lawful, proportionate, relevant, and permitted for the intended use case and jurisdiction. Some checks may be inappropriate, restricted, or prohibited for certain decisions, industries, locations, or Candidate categories. Customer must not use Verifications to discriminate or to make decisions that violate equal opportunity, privacy, consumer reporting, labor, housing, credit, education, immigration, sanctions, export-control, or other applicable laws.
Verifications may include, when enabled and available: sanctions screening; U.S. export-control screening; debarment screening; criminal watchlist screening; securities enforcement screening; corporate registry lookup; sex offender registry search; inmate records search; work authorization checks; and other checks added by Jointl over time.
Checks the Candidate against configured sanctions lists, which may include OFAC SDN, OFAC Consolidated Non-SDN, UN Security Council Consolidated, EU Consolidated Financial Sanctions, and UK Sanctions lists. Results are screening signals only and are not legal advice or a substitute for sanctions counsel or compliance review.
Checks the Candidate against configured U.S. export-control sources, which may include BIS Entity List, Denied Persons List, Unverified List, Military End User List, and State Department ITAR Debarred and Nonproliferation lists. Customer remains responsible for export-control compliance.
Checks configured debarment and exclusion sources, which may include World Bank Ineligible Firms and Individuals and SAM.gov Public Exclusions. Customer must confirm source records and evaluate relevance to its use case.
Searches configured public watchlist sources, which may include FBI Wanted and Interpol Red, Yellow, and UN Special Notice lists. These checks are not a comprehensive criminal background check and may be subject to consumer reporting and anti-discrimination rules.
Screens configured sources such as SEC litigation releases, CFTC enforcement actions, and FINRA BrokerCheck records where available. Customer must verify any possible match and determine whether use is lawful and relevant.
Looks up a Candidate in configured corporate registry sources such as the UK Companies House officer register and Florida Sunbiz officer or registered-agent search.
Searches configured sex offender registry sources, including NSOPW public registry data across U.S. states, territories, and tribal jurisdictions where available. Customer must confirm possible matches and comply with all laws governing use of sex offender registry information.
Searches configured inmate locator sources, which may include Federal BOP and state DOC inmate locators where available. Results may be incomplete or outdated and require source review and individualized assessment.
Where available and authorized, verifies employment eligibility through configured DHS and SSA checks or related authorized workflows. Customer is responsible for program enrollment, Form I-9 and E-Verify requirements, non-discrimination rules, mismatch or tentative nonconfirmation procedures, employee notices, timing restrictions, and all immigration compliance obligations. Work Authorization may be unavailable, temporarily unavailable, or subject to separate terms.
Jointl Intelligence may help generate follow-up questions, interpret responses, summarize open-ended text, tag themes, extract insights, calculate scores, rank fit, apply automated rules, flag possible risks, and surface Cross-Verified Insights or Deep Insights.
Outputs are generated from the data available to Jointl, Customer’s selected criteria, templates, scoring models, rules, and configuration. Outputs may be incomplete, inaccurate, outdated, biased, inconsistent, non-deterministic, or unsuitable for a particular decision. Customer must review Outputs, underlying data, and source materials before relying on them.
Matching Scores, facet scores, rankings, knockout outcomes, automated rules, fraud flags, verification statuses, and recommendations are decision-support signals only. They are not guarantees of performance, honesty, compliance, eligibility, culture fit, retention, safety, work authorization, identity, risk level, or future outcomes.
Customer must configure Jointl Intelligence and automated rules responsibly, test workflows before use, monitor results, consider disparate impact or unfair outcomes where required, and keep a meaningful human review process in place for consequential decisions.
Jointl may help Customers collect information from Candidates, References, team members, third parties, assessments, forms, dynamic questions, AI-moderated checks, and conversational workflows. Customer is responsible for determining what questions to ask, what response formats to use, how to score responses, who to invite, and how to use the information.
Jointl does not guarantee that any Reference is truthful, unbiased, authorized, independent, qualified, or the person they claim to be. Features such as LinkedIn identity verification, email verification, device checks, fraud signals, IP checks, timestamps, location consistency, and digital fingerprint anomaly detection are supplemental indicators only and may produce false positives or false negatives.
Customer must not ask Candidates or References to disclose information that Customer may not lawfully collect or use. Customer must ensure that reference requests, assessments, forms, social link collection, and verification workflows are relevant, proportionate, lawful, accessible, and consistent with Customer’s policies and applicable law.
Customer may use Jointl to send invitations, reminders, SMS messages, emails, public Autopilot links, Magic Links, progress updates, completion alerts, reference requests, candidate communications, and branded messages. Customer is responsible for the content, recipients, timing, legal basis, consent, opt-out handling, accuracy, and appropriateness of those communications.
Customer represents that it has obtained all consents and has all rights required to send emails, SMS messages, reference requests, reminders, and other communications through Jointl. Customer must not use Jointl to send spam, deceptive messages, unlawful marketing, harassing communications, or messages to people who have opted out or should not be contacted.
Jointl may throttle, suspend, block, disable, or reject communications that appear abusive, unlawful, insecure, misleading, undeliverable, or harmful to recipients, Jointl, carriers, email providers, or other users.
As between Customer and Jointl, Customer retains ownership of Customer Data. Customer grants Jointl and its service providers a limited right to host, process, transmit, display, analyze, secure, troubleshoot, support, and otherwise use Customer Data as needed to provide, maintain, protect, and improve the Services, comply with law, enforce these Terms, prevent abuse, and perform Customer’s instructions.
Customer represents that it has all rights, permissions, notices, consents, authorizations, and lawful bases needed for Jointl to process Customer Data as configured by Customer. Customer is responsible for the accuracy, quality, legality, relevance, and completeness of Customer Data and for all decisions based on Customer Data or Outputs.
Jointl may create aggregated, anonymized, or de-identified data that does not reasonably identify Customer, Candidates, References, or individuals. Jointl may use such data for analytics, security, benchmarking, service improvement, product development, and business purposes, subject to applicable law and contractual restrictions.
Jointl does not sell Customer Data or Candidate Data for third-party advertising.
Jointl’s Privacy Policy explains how Jointl collects, uses, shares, protects, and retains personal information. By using the Services, you acknowledge that personal information will be processed as described in the Privacy Policy and in any applicable data processing agreement or service-specific terms.
For Customer Data processed on Customer’s behalf, Customer is generally the controller, business, owner, or equivalent decision-maker, and Jointl is generally the processor, service provider, contractor, or equivalent service provider, unless a separate agreement or applicable law provides otherwise. For account administration, billing, security, fraud prevention, website use, product analytics, legal compliance, and direct interactions with users, Jointl may act as an independent controller or business.
If applicable law requires a data processing agreement, standard contractual clauses, subprocessor terms, or other data protection addendum, Customer must enter into the applicable Jointl agreement before using the Services for regulated personal information.
Jointl uses administrative, technical, and organizational measures designed to protect the Services and Customer Data, which may include encryption in transit, password hashing and salting, access controls, secure hosting, backups, monitoring, and permission-based workflows.
No system, transmission, storage environment, vendor, authentication method, or security control is perfectly secure. Jointl does not guarantee that unauthorized access, data loss, incidents, outages, malware, phishing, credential compromise, third-party failures, or other security events will never occur.
Customer is responsible for configuring roles and permissions, limiting access, reviewing logs and exports where available, managing SSO and identity providers, securing devices, rotating credentials, protecting API keys, disabling unused accounts and public links, training users, and using the Services in a secure manner.
The Services may connect to or rely on third-party systems, public sources, government sources, business registries, verification sources, sanctions and watchlist sources, identity providers, LinkedIn authentication, email verification providers, SMS providers, payment processors, hosting providers, analytics providers, ATS/HRIS/CRM integrations, APIs, and Customer-configured tools.
Jointl does not control third-party services or source databases and is not responsible for their availability, accuracy, legality, security, policies, delays, outages, rate limits, format changes, matching logic, data quality, or decision-making rules. Customer’s use of third-party services may be subject to separate terms and privacy policies.
Customer authorizes Jointl to transmit and receive data through the integrations, APIs, sources, and third-party services Customer enables or configures. Customer is responsible for ensuring that such integrations and data transfers are lawful and properly authorized.
You may not misuse the Services or help anyone else misuse them. Jointl may suspend or terminate access if it reasonably believes use of the Services creates legal, security, operational, privacy, reputational, or safety risk.
Paid Services are billed according to the plan, order form, checkout page, invoice, or written agreement applicable to Customer. Fees are due when stated and are exclusive of taxes unless otherwise specified.
Trials, free plans, promotional offers, nonprofit plans, school plans, beta features, and usage allowances may be limited, modified, suspended, or discontinued at Jointl’s discretion. Unless stated otherwise, paid subscriptions renew automatically until canceled in accordance with the applicable plan or billing terms.
Fees are non-refundable except where required by law or expressly stated in a written agreement. Customer is responsible for taxes, payment details, usage charges, overages, failed payments, and charges incurred by authorized users. Jointl may suspend or limit access for nonpayment, payment disputes, suspected fraud, or billing abuse.
Jointl and its licensors own all rights, title, and interest in the Services, software, technology, designs, interfaces, workflows, algorithms, models, code, documentation, templates, libraries, branding, trademarks, and other Jointl materials, excluding Customer Data.
Subject to these Terms and Customer’s payment obligations, Jointl grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services for Customer’s internal business purposes or other authorized purposes during the subscription term.
If you provide suggestions, feedback, ideas, feature requests, or recommendations, you grant Jointl a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided Jointl does not identify you as the source without permission.
Each party may receive non-public information from the other party. The receiving party must use reasonable care to protect confidential information and may use it only to perform obligations or exercise rights under these Terms. Confidential information does not include information that is public, independently developed, lawfully received without confidentiality obligations, or already known without restriction.
Jointl may disclose confidential information to personnel, contractors, subprocessors, professional advisors, regulators, courts, law enforcement, or other parties where reasonably necessary to provide the Services, comply with law, protect rights, prevent harm, or enforce these Terms, subject to appropriate confidentiality obligations where applicable.
Some Services, including Verifications, Work Authorization, new Jointl Intelligence capabilities, integrations, data sources, and experimental workflows, may be labeled beta, preview, limited availability, pilot, experimental, temporarily unavailable, or similar. Beta features may be less reliable, may change without notice, and may contain errors, inaccuracies, or interruptions.
Jointl may perform maintenance, change infrastructure, update models, modify sources, adjust scoring, suspend features, impose usage limits, or make security changes. Jointl will use reasonable efforts to maintain availability but does not guarantee uninterrupted, error-free, or source-complete Services.
To the maximum extent permitted by law, the Services, Outputs, Verifications, source results, summaries, scores, recommendations, fraud flags, automations, integrations, beta features, and support are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.
Jointl disclaims all warranties of accuracy, completeness, reliability, non-infringement, merchantability, fitness for a particular purpose, uninterrupted availability, error-free operation, legal compliance, regulatory compliance, employment outcome, hiring quality, retention, safety, work authorization, identity, non-discrimination, or absence of fraud.
Jointl is not a law firm, HR advisor, immigration advisor, sanctions advisor, export-control advisor, tax advisor, insurance advisor, credit advisor, background-check compliance advisor, or decision-maker for Customer. No information provided through the Services constitutes legal, professional, compliance, employment, immigration, sanctions, export-control, housing, lending, insurance, or other regulated advice.
Where Jointl provides functionality that may be subject to consumer reporting, employment, background screening, or similar laws, the parties’ respective obligations will be governed by applicable law and any additional written agreement. Nothing in these Terms is intended to waive rights or obligations that cannot be waived by law.
To the maximum extent permitted by law, Jointl and its owners, officers, directors, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business; lost goodwill; lost data; replacement services; business interruption; hiring outcomes; employment claims; Candidate or Reference claims; regulatory penalties; or third-party claims, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Jointl’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by Customer to Jointl for the Services giving rise to the claim during the twelve months before the event giving rise to liability. For free, trial, beta, or unpaid Services, Jointl’s total liability will not exceed USD $100.
The limitations in this section apply regardless of the theory of liability, whether contract, tort, negligence, strict liability, statute, or otherwise, and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
Customer will defend, indemnify, and hold harmless Jointl and its owners, officers, directors, employees, contractors, affiliates, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, penalties, fines, settlements, and expenses, including reasonable attorneys’ fees, arising from or related to: Customer Data; Customer’s use of the Services; Customer’s decisions or actions based on Outputs; Customer’s failure to provide notices, obtain consent, establish a lawful basis, or follow adverse-action procedures; Customer’s violation of law or these Terms; Customer’s templates, questions, scoring rules, automated rules, communications, public links, or integrations; Customer’s use of Verifications, fraud flags, social links, assessments, references, or work authorization checks; or claims by Candidates, References, employees, applicants, clients, tenants, consumers, regulators, or third parties arising from Customer’s workflow, policies, or decisions.
Jointl will promptly notify Customer of a claim for which it seeks indemnification, allow Customer to control the defense where appropriate, and reasonably cooperate at Customer’s expense. Customer may not settle a claim in a way that imposes obligations on Jointl or admits fault by Jointl without Jointl’s written consent.
Customer may stop using the Services or cancel a subscription according to the applicable plan or agreement. Jointl may suspend or terminate access if Customer fails to pay, violates these Terms, creates legal or security risk, misuses the Services, infringes rights, harms recipients, abuses communications, violates third-party rules, or uses the Services in a way that may expose Jointl or others to liability.
Upon termination, Customer’s right to use the Services ends. Jointl may retain, delete, or return Customer Data according to the Privacy Policy, data processing agreement, plan settings, backup schedules, legal obligations, dispute needs, and technical limitations. Sections that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnification, payment obligations, dispute terms, and data protection obligations.
Jointl may update these Terms from time to time. The updated Terms will be posted or otherwise made available. If a change materially affects Customer’s rights or obligations, Jointl will use reasonable efforts to provide notice through the Services, by email, or by another reasonable method. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, unless applicable law requires otherwise. Subject to any mandatory rights that cannot be waived, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Services.
To the maximum extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any class, consolidated, representative, collective, or private attorney general action.
